1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and MoonwalkAI, operated by Mahmoud Fahmy ("Company," "we," "our," or "us") concerning your access to and use of our AI video generation platform and related services ("Services"). By accessing or using our Services, you agree to be bound by these Terms.

2. Acceptance of Terms

By accessing or using our Services, you confirm that:

• You are at least 18 years old or have reached the age of majority in your jurisdiction
• You have the legal capacity to enter into these Terms
• You will comply with all applicable laws and regulations
• All information you provide is accurate and complete
• You have read, understood, and agree to be bound by these Terms in their entirety

3. Description of Services

MoonwalkAI provides an AI-powered platform that enables users to create short-form video content for social media platforms including TikTok, Instagram Reels, and YouTube Shorts. Our Services include:

• AI video generation from text prompts and preferences
• AI image generation for video scenes
• Automated AI voiceover generation
• AI background music generation
• AI subtitle generation with word-level synchronization
• Platform-specific content optimization
• Optional direct publishing to connected social media platforms
• Content management and organization tools

No user uploads: MoonwalkAI currently does not accept user-uploaded media files. All media content is generated by our AI systems from your text prompts and preferences.

4. MoonwalkAI as a Creative Tool

4.1 Nature of the Platform

MoonwalkAI is a creative tool — software that processes your text instructions and generates video content based on those instructions. The platform does not:

• Independently select or curate content you create
• Exercise editorial control over your generated videos
• Endorse, sponsor, or approve any content created using the platform
• Publish content independently — all publishing is at your explicit direction

4.2 Your Role as Creator and Publisher

When you use MoonwalkAI to create a video, you are the creator of that video. When you publish it — through our direct publishing integration or by downloading and posting independently — you are the publisher. You bear full legal responsibility as the creator and publisher of all content you generate and distribute using our platform.

4.3 Limits of Our Removal Capability

MoonwalkAI can remove content from our servers and from social platforms where we published via our direct integration. We have no technical ability to remove content you have downloaded and independently posted to third-party platforms. For such content, rights holders must contact those platforms directly.

5. User Accounts

To use our Services, you must create an account. You agree to:

• Provide accurate and complete registration information
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized access
• Accept responsibility for all activities under your account
• Not share your account with others

6. Acceptable Use Policy

You agree not to use our Services to create or distribute content that:

• Violates any applicable laws or regulations
• Infringes the intellectual property rights of any third party
• Contains harmful, threatening, or abusive material
• Promotes violence, discrimination, or illegal activities
• Contains false, misleading, or deceptive information
• Violates the terms of service of platforms you publish to
• Attempts to reverse engineer or compromise our systems
• Impersonates any person, brand, or entity without authorization

7. Prohibited Content

The following content is strictly prohibited. Violations result in immediate account termination and where legally required, reporting to relevant authorities.

7.1 Zero Tolerance

• Any content sexualizing minors in any form — real or AI-generated
• Non-consensual intimate imagery of real individuals
• Realistic deepfakes depicting real people in false contexts without their consent
• Content designed to facilitate real-world violence against specific individuals
• Terrorist or extremist propaganda

Legal obligation: We are required by federal law (18 U.S.C. § 2258A) to report any discovered Child Sexual Abuse Material to the National Center for Missing and Exploited Children (NCMEC) within 24 hours. No exceptions.

7.2 Also Prohibited

• Content harassing or targeting specific private individuals
• Hate speech targeting protected characteristics
• Content glorifying or instructing self-harm or suicide
• Graphic violence with no legitimate editorial purpose
• Content violating real individuals' rights of publicity or privacy

8. Content and Intellectual Property

8.1 Your Prompts and Inputs

You retain ownership of the text prompts, creative briefs, and preferences you provide to MoonwalkAI. By submitting prompts, you grant us a limited, non-exclusive license to process them solely for the purpose of generating your requested output.

8.2 Your Generated Content

Subject to these Terms, you own the video content generated by MoonwalkAI in response to your instructions. You acknowledge that:

• Similar content may be generated for other users using the same AI systems and similar prompts
• We do not guarantee the uniqueness or originality of AI-generated content
• AI-generated content is subject to evolving legal standards
• You are responsible for ensuring generated content does not infringe third-party rights before publishing

8.3 License to MoonwalkAI

By using our Services, you grant MoonwalkAI a non-exclusive, royalty-free, worldwide license to store, process, and display your generated content solely within your account and to deliver it to you and to publish it at your direction. We do not use your generated content for any other purpose without your explicit consent.

8.4 Our Intellectual Property

MoonwalkAI's platform, AI models, software, algorithms, brand, and technology are our proprietary property. You may not copy, reverse engineer, or create derivative works based on our technology without our express written consent.

8.5 Prompt Responsibility

You are solely responsible for the prompts you provide. Prompts that direct our AI to generate content resembling specific copyrighted works, real individuals' likenesses, trademarked characters, or other protected material may result in outputs that infringe third-party rights. Such infringement is your responsibility as the person who directed the generation.

9. AI Content Disclosure Obligations

TikTok, YouTube, Instagram, and other platforms require disclosure of AI-generated content. By using MoonwalkAI you acknowledge and agree that:

• You are solely responsible for complying with all platform-specific AI content disclosure requirements
• MoonwalkAI is not liable for any consequences arising from your failure to make required disclosures
• Platform requirements change frequently — you are responsible for staying current
• Content generated by MoonwalkAI is AI-generated and must be disclosed as such where platforms require it

10. Direct Publishing Integration

10.1 Publishing at Your Direction

When you instruct MoonwalkAI to publish:

• You are the publisher — MoonwalkAI acts as your technical agent carrying out your instruction
• You are solely responsible for ensuring content complies with the destination platform's policies
• MoonwalkAI does not review content before publishing at your direction
• MoonwalkAI is not responsible for content moderation decisions by destination platforms

10.2 Platform Terms Compliance

You agree to comply with the terms of service of every platform you publish to through MoonwalkAI. Repeated violations may result in suspension of your publishing privileges or account termination.

10.3 No Unauthorized Publishing

MoonwalkAI will never publish content to your connected accounts without your explicit instruction. No automated or background publishing occurs without your direct action.

11. Copyright and Removal Requests

MoonwalkAI respects intellectual property rights. If you believe AI-generated content stored in a MoonwalkAI user account infringes your copyright, you may submit a removal request to [email protected].

Please include: identification of the copyrighted work, identification of the infringing content, your contact information, a good faith belief statement, and a statement of accuracy. We will respond within 48 hours.

Future uploads: When MoonwalkAI introduces user upload features, a full DMCA compliance system including a registered DMCA agent will be implemented and these Terms will be updated before those features launch.

12. Public Gallery — Free Tier

If you use MoonwalkAI on the free tier, your raw AI-generated scene assets (not final compiled videos) may be included in a public gallery. By using the free tier, you grant us a non-exclusive, royalty-free, worldwide, sublicensable license to display, allow remixing of, and potentially sell or commercially license your gallery assets. Paid subscribers are excluded unless they opt in.

13. Payment and Subscriptions

• Payments are processed through secure third-party providers
• Subscriptions automatically renew unless cancelled before renewal date
• Price changes will be communicated with reasonable advance notice
• You are responsible for all applicable taxes

13.1 Credits and Expiration

MoonwalkAI uses a credit system to purchase AI generation capacity. Credits are subject to the following terms:

• All credits expire 3 months from the date of allocation — this applies to both subscription credits and purchased credit packs
• No rollover beyond 3 months — credits not used within 3 months of allocation are forfeited
• Expiration notice — we will notify you by email when credits are within 7 days of expiration
• No cash value — credits have no cash value and are non-transferable between accounts
• Refunds — unused, non-expired credits may be refunded within 30 days of purchase per our Refund Policy

14. Refund Policy

Refunds are not available for consumed credits or active subscription periods as AI processing costs are incurred immediately. Unused, non-expired credits may be refunded within 30 days of purchase. You may cancel at any time — your subscription remains active until the end of the current billing period.

15. Disclaimers

Our Services are provided "as is" without warranties of any kind. We specifically disclaim:

• Any warranty that AI-generated content is original, unique, or free from resemblance to third-party works
• Any guarantee of viral success or particular engagement outcomes
• Any warranty of uninterrupted or error-free operation
• Any endorsement of content created using the platform

No editorial responsibility: MoonwalkAI does not review, verify, or take editorial responsibility for content generated at user direction. The views expressed in user-created content do not represent MoonwalkAI's views or values.

16. Limitation of Liability

To the maximum extent permitted by law, MoonwalkAI shall not be liable for indirect, incidental, special, consequential, or punitive damages arising from your use of the Services. Our maximum aggregate liability shall not exceed the amount you paid us in the 12 months preceding the claim or USD $50, whichever is greater.

17. Termination

Either party may terminate this agreement at any time. We may suspend or terminate your access immediately for:

• Violation of these Terms including the Prohibited Content policy
• Conduct that exposes MoonwalkAI to legal liability
• Activity that harms other users, third parties, or MoonwalkAI

Sections 8, 9, 15, 16, and 18 survive termination.

18. Governing Law and Dispute Resolution

18.1 Governing Law

These Terms are governed by the laws of the Arab Republic of Egypt.

18.2 Informal Resolution First

Before filing any formal dispute, you agree to contact us at [email protected] and give us 30 days to resolve the issue informally. Most issues can be resolved this way.

18.3 Binding Arbitration

If informal resolution fails, any dispute, claim, or controversy arising from or relating to these Terms or our Services shall be resolved by binding individual arbitration rather than in court, except where prohibited by law. You waive any right to a jury trial.

18.4 Class Action Waiver

You agree that any dispute resolution will be conducted only on an individual basis. You waive any right to bring or participate in any class action, consolidated action, or representative proceeding. This waiver applies to arbitration and court proceedings alike.

18.5 Exceptions

Either party may seek injunctive or equitable relief in any court of competent jurisdiction to prevent irreparable harm, including to protect intellectual property rights.
